These Terms of Service ("Terms," "Agreement," or "ToS") establish the legal agreement between you (the "Client," "you," or "your") and Cayivisions LLC ("we," "us," "our," or "Company"). By booking a session, making a payment, accessing our website cayivisions.com (the "Site"), or using any of our video production, photography, or content creation services (the "Services"), you agree to be bound by these Terms.
 
If you do not agree with these Terms, do not use our Services or Site. We reserve the right to modify these Terms at any time. Continued use of our Services after modifications constitutes your acceptance of the updated Terms.

1. SERVICE DESCRIPTIONS & BOOKINGS
 
1.1 Service Overview
 
Cayivisions offers the following Services:
 
Video Production Services
- **Multi-Camera Recording Session (RAW FILES)** — Multi-camera recording with professional audio, RAW files delivered unedited
- **Multi-Camera Episode Recording (EDITED EP)** — Complete podcast episode production with multi-camera recording, full post-production editing, custom branding, and broadcast-ready delivery
- **Studio Day Rental (RAW FILES)** — Full-day studio access with multi-camera coverage, professional lighting, and high-fidelity audio
- **Freelance Videographer** — On-location video recording services
- **Video Editing Services** — Professional editing of footage from any source
 
Photography Services
- **Professional Environmental Headshots** — Studio headshots with professional lighting and retouching
- **Environmental Photo Shoot** — On-location or studio photography for branding and business use
- **Event Candid Photography** — Professional event photography capturing candid moments
 
Each Service has its own dedicated booking calendar, pricing, and service specifications detailed below. It is your responsibility to review the full service description and included deliverables before booking.
 
1.2 Booking Process
 
To book a Service:
1. Select your desired date, time, and service type through our online booking calendar at cayivisions.com/book-online
2. Provide required information (name, email, phone, company, session details)
3. Review and accept these Terms of Service
4. Make payment in full (see Pricing & Payment section for details)
5. Receive a booking confirmation via email with session details, studio address, parking information, and pre-session instructions
 
A booking is confirmed only after payment is received and processed.
 
1.3 Studio Location & Arrival

All studio sessions are conducted at:

Street parking is available to all patrons.
 
Arrival & Punctuality
Please arrive 10-15 minutes early to allow time for setup and sound check. If you arrive more than 15 minutes late without prior notice, we reserve the right to shorten your session by the late time or reschedule at no cost. If you arrive more than 30 minutes late without communication, your session may be canceled and your deposit forfeited.

2. SERVICE-SPECIFIC POLICIES & PRICING
 
### 2.1 MULTI-CAMERA EPISODE RECORDING (EDITED EP)
 
**Pricing**
- **$365 per hour** of studio time with complete edit included
- Includes multi-camera recording, high-fidelity audio, full post-production editing, custom branding
- Broadcast-ready episode delivered within 48 hours
 
**What's Included**
- Multi-camera recording setup
- High-fidelity audio capture
- Full post-production editing
- Custom branding integration
- Broadcast-ready file delivery
- One round of revisions (within 7 days of delivery)
 
**Revisions**
- One round of revisions included at no additional cost
- Minor revisions include color grading, audio adjustment, text overlays
- Major changes to edit, artistic/creative freedom changes, or revisions submitted after 7 days are subject to additional editing fees ($100/hour)
- Revision turnaround: 24 hours from receiving revision notes
 
**Overage Fees**
- Overage fees apply if your session exceeds the booked time: **$250-$350 per hour** (depending on recording method selected)
- Studio availability for overtime is not guaranteed; availability confirmed at time of booking

### 2.2 STUDIO DAY RENTAL (RAW FILES)
 
**Pricing**
- **$2,000 for seven-hour studio day** (typically 9:00 AM to 5:00 PM, including a break)
- Includes multi-camera coverage, professional lighting, high-fidelity audio
- All RAW files delivered within 48 hours
 
**What's Included**
- Seven hours of studio time
- Multi-camera recording setup (accommodates up to 4 speakers/guests on camera)
- Professional lighting setup
- High-fidelity audio recording
- Engineer/operator support
- All RAW files from every camera angle and audio track
- Delivery of all files by secure download link within 48 hours
 
**Studio Capacity & Participants**
- **Maximum studio capacity: 5 people** (1 engineer + up to 4 guests on camera)
- No additional observers or participants can be in the studio while recording
- Our multi-camera setup comfortably accommodates up to 4 speakers
 
**Episode Production**
- Most clients complete **6 to 10 episodes in a seven-hour day**, depending on segment length and guest changeovers
 
**Session Windows & Alternate Times**
- Standard studio day: 9:00 AM to 5:00 PM (including one break)
- Alternate time windows can be arranged upon request; availability confirmed at booking
 
**Set Decoration**
- Studio sets remain the same during regular hours of operation
- Clients may bring in decorations to customize the appearance of each set
- Set decoration setup time must be completed during your session hour
- Maximum decoration setup time: 15 minutes before session start and 15 minutes after session end
- All setup/breakdown must fall within your booked seven-hour window
 
**Content Ownership**
- **You own the finished episode outright with no licensing restrictions or usage limits**
- Free to publish and distribute on any platform
 
**Overage Fees**
- Overage fees apply if you exceed seven hours: **$250-$350 per hour**
- Overtime availability is subject to studio availability and is not guaranteed
- Confirm availability for potential overtime at time of booking
 
**Social Media Add-Ons**
- **Short-Form Social Media Clips: $100** for 4 fully edited and captioned social media clips (repurposed from your session)
- **Podcaster Add-On: $400/month** (for recurring monthly bookings) includes:
  - 4 fully edited short-form social media clips per episode recorded that month
  - Custom thumbnails for each episode
  - Uploads to YouTube and all major podcast platforms
  - Value if purchased separately: $650/month
 
**Full-Day Rental with Editing**
- **$2,450** for seven-hour studio day with complete editing of all footage
- Includes all day rental features plus professional post-production editing and delivery of broadcast-ready episode(s)

- **You own all footage outright with no licensing restrictions or usage limits**
- RAW files delivered unedited; editing is your responsibility or through our Video Editing services
 
**When to Choose RAW vs. EDITED**
- Choose RAW session ($260) if you have your own editor or if you edit yourself
- Choose EDITED session ($365) if you want a broadcast-ready episode delivered immediately

### 2.4 VIDEO EDITING SERVICES
 
**Pricing**
- **$100 per hour** for professional video editing
- **Honest hour estimate provided upfront** based on your footage and brief before any work begins
- You receive a total cost estimate before work starts
 
**Scope of Services**
- Professional editing of footage from any source (our studio, another studio, phone, external videographer, etc.)
- No prior recording with Cayivisions required
- Color correction and grading
- Audio editing and balancing
- Transitions, effects, and basic motion graphics
- Text overlays and branding
 
**File Transfer**
- Footage must be transferred via secure link, Google Drive, or external SSD
 
**Delivery Timeframe**
- Most projects delivered within 10 business days of receiving your footage
- Timeline depends on project length and complexity
- Expedited delivery available (see Rush Fees below)
 
**Revisions**

3. PRICING, PAYMENT & FEES
 
3.1 Accepted Payment Methods
 
We accept:
- Credit cards (Visa, Mastercard, American Express, Discover)

Late Payment

- **Social media short-form clips**: $100 for 4 clips
- **Podcaster Add-On**: $400/month (for recurring bookings)
- **Full-day rental with editing**: $2,450 (standard day rental + full edit)
- **Additional video editing**: $100/hour
- **Advanced retouching**: $100/hour for editing beyond standard scope

 
Taxes & Fees
You are responsible for any applicable sales tax or governmental fees associated with your purchase.

4. CANCELLATION, RESCHEDULING & REFUNDS
 
4.1 Cancellation Policy
 
Client-Initiated Cancellations
 
If you need to cancel, we require:
 
- **More than 30 days before session**: Full refund minus administrative processing fee of $25
- **15-30 days before session**: 50% refund of session fee; deposit retained
- **Less than 15 days before session**: No refund; full deposit and session fees forfeited. You may reschedule within 90 days at no additional cost
 
Cancellation Communication
All cancellations must be submitted in writing (email) to claudio@cayivisions.com with "Cancellation Request" in the subject line. Cancellations are effective upon receipt and email confirmation from our team.
 
4.2 Rescheduling
 
You may reschedule your session at no additional cost if:
- You provide at least 30 days' notice
- Your new session is scheduled within 90 days of your original date
- The new date/time is available on our booking calendar
 
Rescheduling requests submitted with less than 30 days' notice may incur a $50 rescheduling fee.
 
4.3 Cayivisions-Initiated Cancellations
 
In rare circumstances, Cayivisions may cancel or reschedule your session due to:
- Emergency closure (weather, equipment failure, illness of key staff)
- Force majeure events beyond our control
- Technical issues
 
If we cancel, we will:
1. Notify you as soon as possible via email and phone
2. Offer to reschedule at no additional cost at your earliest convenience
3. Issue a full refund if you cannot reschedule within 60 days

5. DELIVERY, FILE FORMATS & STORAGE
 
5.1 Deliverables & Timelines
 
Delivery Method
Digital files are delivered via secure download link, Google Drive, WeTransfer, or external SSD storage.
 
Delivery Timelines
- **RAW/Unedited Files (Video)**: Within 48 hours of session
- **Edited Episodes (Multi-Cam)**: Within 48 hours of session (broadcast-ready)
- **Edited Photos (Headshots)**: Within 5-7 business days
- **Edited Photos (Environmental/Events)**: Within 10-14 business days
- **Video Editing Projects**: Within 10 business days of receiving footage (depending on length and complexity)
 
File Quality & Format
Unless otherwise specified:
- **Photos**: High-resolution JPEGs (300 DPI for print, 72 DPI for web), color-corrected, retouched as specified in service description
- **Video**: 1080p HD (1920x1080) MP4 or broadcast-ready format as booked; [CONFIRM: ProRes or other formats available?]
- **RAW Files**: Delivered in camera-native format as recorded
 
5.2 File Storage & Download Links
 
Temporary Storage
Download links are available for **30 days** from delivery date. After this period, files may be deleted from our servers. It is your responsibility to download and backup all deliverables.
 
Extended Storage
If you require extended storage or archival beyond the standard 30 days, contact claudio@cayivisions.com for custom storage solutions and associated fees.
 
Cloud Backup
We maintain secure backups of all session files for 90 days from delivery. We are not liable for data loss beyond this period.
 
5.3 Incomplete or Missing Deliverables
 
If deliverables are not received within the specified timeframe:
1. Notify us immediately via email to claudio@cayivisions.com
2. We will investigate and provide an updated delivery date
3. For delays exceeding 7 days beyond the original deadline due to our error, you may request a 10% refund of session fees
 
We are not responsible for delays caused by:
- Your failure to provide required materials or information
- Third-party technology failures (email delivery, cloud service outages)
- Force majeure events

6. INTELLECTUAL PROPERTY & USAGE RIGHTS
 
6.1 Ownership of Content
 
Work Product
We retain copyright and all intellectual property rights to the production work and final deliverables. You receive a limited license to use deliverables as specified below.
 
Your Materials
You retain ownership of any pre-existing materials, concepts, briefs, or assets you provide to us (e.g., scripts, logos, pre-recorded audio, graphics). By providing these materials, you grant us a limited license to use them solely for the purpose of delivering your Services.
 
6.2 Your License to Use Deliverables
 
Personal & Commercial Use
You may use delivered photos and videos for:
- Personal and commercial purposes
- Internal business communications
- Social media posting (personal or business accounts)
- Company website and marketing materials
- Print and digital advertising
- Unlimited distribution on any platform

Commercial Licensing

Portfolio & Marketing
With your permission (confirmed at booking or via written email consent), we may:
- Display your photos/videos in our portfolio on cayivisions.com
- Share images on social media (Instagram, TikTok, Facebook, LinkedIn, X)
- Use images in marketing materials and promotional content
- Feature your session as a case study or client testimonial
 
You may opt-out of portfolio use by noting "Portfolio Restricted" at checkout or emailing claudio@cayivisions.com before your session.
 
Testimonials & Case Studies
If you provide a testimonial or agree to be featured in a case study, we may use:
- Your name, business name, and location
- Selected photos/videos from your session
- Your quoted feedback about the experience
 
6.4 Attribution & Credits
 
When sharing deliverables publicly, we appreciate (but do not require) photo/video credits to:
- "Photography by Cayivisions" or "Video by Cayivisions"
- Link to cayivisions.com when sharing digitally

7. CLIENT RESPONSIBILITIES & CONDUCT
 
7.1 Information Accuracy
 
You guarantee that all information provided (name, contact details, session details, project briefs) is accurate and complete. You are responsible for any errors or omissions in the information you provide.
 
7.2 Pre-Session Preparation
 
You are responsible for:
- Arriving on time to your session (10-15 minutes early recommended)
- Preparing any materials needed (scripts, outlines, logos, assets)
- Confirming all participants' attendance and contact information
- Notifying us in advance of any special requests or accessibility needs
 
7.3 Studio Conduct & Safety
 
By entering our studio, you agree to:
- Follow all safety guidelines and instructions from our staff
- Treat all equipment with care and respect
- Report any equipment damage or malfunction immediately
- Not bring hazardous or prohibited materials to the studio
- Maintain professional conduct throughout your session
- Comply with all local health and safety regulations
- Limit studio capacity to authorized participants only (5 max: 1 engineer + 4 guests)
 
7.4 Assumption of Risk & Liability Release
 
You acknowledge that some production activities (using professional equipment, working in lighting setups, working on set, etc.) may involve inherent risks. You assume all risks associated with participation in your session.
 
By booking, you release and hold harmless Cayivisions, its owners, employees, and contractors from any claims, injuries, or damages arising from your participation, except in cases of gross negligence or willful misconduct by Cayivisions.
 
7.5 Prohibited Use
 
You may not:
- Use Cayivisions services to create illegal, defamatory, harassing, or harmful content
- Violate any third-party intellectual property rights
- Engage in fraud or misrepresentation
- Violate any applicable laws or regulations
 
Cayivisions reserves the right to refuse service or refund payment for any sessions involving prohibited use.

8. LEGAL & LIABILITY
 
8.1 Limitation of Liability
 
To the fullest extent permitted by law, Cayivisions is not liable for:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Personal injury or property damage (except where prohibited by law)
- Third-party claims related to your use of deliverables
 
Maximum Liability
Our total liability for any claim arising from these Terms or your use of Services shall not exceed the amount you paid for the specific Service that gave rise to the claim.
 
8.2 No Guarantee of Results
 
Cayivisions provides professional production services but does not guarantee specific results. Factors beyond our control (audience engagement, social media algorithms, viewer preferences) may affect outcomes.
 
8.3 Indemnification
 
You agree to indemnify, defend, and hold harmless Cayivisions from any claims, damages, or costs (including attorney fees) arising from:
- Your use of deliverables
- Third-party claims that your content infringes intellectual property rights
- Your violation of these Terms
- Your violation of applicable laws

10.2 Entire Agreement
 
These Terms, combined with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Cayivisions regarding your use of Services. These Terms supersede all prior agreements, understandings, and negotiations.
 
10.3 Severability
 
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall remain in full force and effect.
 
10.4 Waiver
 
Failure to enforce any right or provision does not constitute a waiver of that right or provision. Cayivisions may exercise or waive rights or provisions at any time at our sole discretion.
 
10.5 Assignment
 
You may not assign or transfer these Terms or your rights under these Terms without written consent from Cayivisions. Cayivisions may assign these Terms to a successor or affiliate without notice.

11. GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of Connecticut, without regard to its conflict-of-law principles. Any legal action or proceeding arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Fairfield County, Connecticut.
 
11.2 Dispute Resolution
 
Informal Resolution
Before pursuing formal legal action, we encourage you to attempt resolution through informal communication:
1. Contact claudio@cayivisions.com with a detailed description of your dispute
2. We will respond within 10 business days
3. Both parties will make good-faith efforts to resolve the matter
 
If informal resolution fails, you agree to submit to binding arbitration rather than pursuing litigation (except for disputes involving intellectual property infringement or injunctive relief).
 
Arbitration
Any dispute shall be resolved by binding arbitration in Stamford, Connecticut, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Each party bears its own costs and a proportional share of arbitrator fees.

By booking a Service or accepting these Terms, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into a binding agreement. If you are under 18, your parent or legal guardian must agree to these Terms on your behalf.
